Amply AI Terms of Service
Effective Date: October 1, 2026
Last Updated: October 15, 2026
These Terms of Service form a subscription agreement between Amply AI ("Amply," "we," "us," or "our") and the individual professional, firm, organization, or other entity that purchases, accesses, or uses the Services ("Subscriber," "Advisor," "you," or "your").
1. Agreement and Scope
These Amply AI Terms of Service ("Terms") govern access to and use of the Amply advisor operating system, websites, applications, artificial-intelligence-enabled features, CRM and pipeline tools, prospect capture tools, communications and automation features, digital fact finder, analytics, advisory workflow tools, scenario-analysis features, presentation-generation features, support services, and related services (collectively, the "Services").
If you accept these Terms for an organization, you represent that you have authority to bind that organization.
An order form, checkout page, proposal, statement of work, or other written ordering document accepted by Amply and Subscriber ("Order") may specify the applicable subscription tier, fees, usage allowances, seats, case allowances, and other commercial terms. If an Order conflicts with these Terms, the Order controls only as to the specific conflicting commercial term.
2. The Amply Platform
Amply is an AI-powered operating system designed to help advisory businesses capture opportunities, organize prospect and client information, automate workflow, qualify and nurture prospects, schedule activity, analyze information, develop scenarios, and prepare advisor-facing or client-ready materials. Available functionality depends on the Subscriber's selected tier and may change over time.
Current offerings may include Core, Pro, Elite, and Elite+. Specific functionality, contact limits, user-seat limits, automated solution-case allowances, support levels, and pricing are governed by the then-current Order or subscription page rather than permanently guaranteed by these Terms.
3. Eligibility, Accounts, and Authorized Users
- You must be legally capable of entering into a binding contract and use the Services only for lawful professional or business purposes.
- You are responsible for the accuracy of account information, safeguarding credentials, using multi-factor authentication when available or required, and all activity occurring under your account.
- Only authorized personnel may use Subscriber accounts. Seats may not be shared in a manner designed to circumvent plan limits.
- You must promptly notify Amply at support@amply-ai.com of suspected unauthorized access, credential compromise, or misuse.
4. Subscription, Fees, Billing, and Changes
Subscription fees, billing frequency, included features, usage limits, and any implementation or add-on charges are stated in the applicable Order or checkout page. Unless the Order states otherwise, subscriptions automatically renew for successive periods matching the applicable billing frequency until canceled in accordance with these Terms.
Subscriber authorizes Amply and its payment processor to charge applicable fees, taxes, and approved usage-based charges to the payment method on file. Fees are due when charged and are non-refundable except as expressly stated in an Order, these Terms, or applicable law.
Amply may change pricing or plan structure prospectively by providing notice required by applicable law or the applicable Order. Changes take effect no earlier than the next renewal period unless Subscriber affirmatively agrees otherwise.
Subscriber may cancel by emailing support@amply-ai.com. Unless an Order states otherwise, cancellation takes effect at the end of the current paid billing period, and previously paid fees are not refunded.
5. Usage Limits and Automated Solution Cases
Certain plans may include limits on contacts, user seats, communications, automated solution cases, or other resources. An "Automated Solution Case" means a case processed through applicable Amply advisory-engine functionality, which may include AI-assisted analysis, solution development, What-If modeling, or preparation of presentation materials.
Unless an Order expressly states otherwise, unused monthly allowances do not roll over. Additional usage may require an upgrade or additional fees as stated in the applicable Order. Amply may apply reasonable technical controls to enforce plan limits.
6. Advisor Responsibility and Professional Judgment
Amply is a technology, workflow, automation, and decision-support platform. It is not the advisor, broker, insurance producer, investment adviser, tax professional, accountant, attorney, fiduciary, carrier, custodian, or other licensed professional serving the Subscriber's customer.
The Advisor remains responsible for every professional judgment, recommendation, representation, communication, transaction, filing, illustration, product selection, suitability or best-interest determination, and client-facing use of information produced or assisted by the Services.
Before relying on, transmitting, presenting, implementing, or acting on any output from Amply, the Advisor must independently review and verify the output against applicable client facts, source documents, carrier or product materials, current law and regulation, firm policies, licensing requirements, and other authoritative sources appropriate to the Advisor's profession.
Amply output must not be treated as a substitute for required supervisory review, compliance approval, professional judgment, carrier-approved illustrations, legal advice, tax advice, accounting advice, or investment advice.
7. Artificial Intelligence and Automated Features
Some Services use artificial intelligence, machine learning, rules-based automation, third-party models, or similar technologies ("AI Features"). AI Features may generate summaries, classifications, lead scores, analyses, scenarios, suggested solutions, draft communications, presentations, or other outputs.
AI-generated or automated output can be incomplete, outdated, inconsistent, or incorrect. Similar inputs may produce different outputs. Subscriber is responsible for appropriate human review and may not represent that an Amply-generated output has been independently verified by Amply unless Amply expressly states otherwise in writing.
Subscriber must not use AI Features to make a legally significant decision about an individual without the human review, disclosures, consent, and other safeguards required by applicable law.
8. Regulatory and Compliance Responsibilities
Subscriber is solely responsible for determining the laws, regulations, professional standards, carrier requirements, supervisory procedures, advertising rules, recordkeeping requirements, licensing rules, consent requirements, and fiduciary or suitability obligations applicable to its business and use of the Services.
Any workflows, templates, disclaimers, retention settings, audit records, or other compliance-oriented functionality provided by Amply are tools to support Subscriber's processes and do not constitute a certification or guarantee that Subscriber is compliant with SEC, FINRA, state insurance, privacy, telemarketing, tax, financial-services, or other requirements.
Subscriber must configure and use communications functionality in compliance with applicable laws, including requirements governing email, SMS or text messages, telephone calls, prerecorded or artificial voice, automated dialing, marketing communications, opt-in and opt-out requests, and do-not-call obligations.
9. Prospect and Client Data and Authority to Submit
Subscriber may submit information concerning prospects, clients, employees, and other individuals ("Subscriber Data"). Subscriber represents and warrants that it has all rights, notices, authorizations, permissions, and consents necessary to collect, upload, disclose, transmit, and instruct Amply to process Subscriber Data for the purposes contemplated by the Services.
Subscriber will not submit information that Subscriber is prohibited from providing to Amply or that is unnecessary for the intended use. Subscriber is responsible for maintaining its own legally required records and should not treat the Services as its sole recordkeeping repository unless expressly agreed in writing.
Amply's handling of personal information is further described in the Amply AI Privacy Policy and, where applicable, any data processing addendum or business-specific privacy agreement.
10. Communications and Consent Management
Where Subscriber uses Amply to send or facilitate email, SMS, telephone, AI voice, chat, nurture, reminder, scheduling, or similar communications, Subscriber is the party responsible for the legal basis and instructions for those communications unless applicable law expressly provides otherwise.
Subscriber must maintain accurate consent and suppression information, honor opt-out and revocation requests, and avoid uploading purchased, scraped, or otherwise improperly obtained contact data. Amply may suspend communications functionality when it reasonably believes continued use creates legal, deliverability, security, or platform-integrity risk.
11. Acceptable Use
Subscriber and Authorized Users may not:
- Use the Services for unlawful, fraudulent, deceptive, discriminatory, harassing, or abusive activity.
- Attempt to gain unauthorized access to systems, accounts, data, models, source code, or infrastructure.
- Introduce malware, conduct penetration testing without written authorization, interfere with service operation, or circumvent security or usage controls.
- Reverse engineer, decompile, copy, scrape, benchmark for competitive publication, or create derivative services from protected elements of the Services except where such restriction is prohibited by law.
- Use the Services to infringe intellectual-property, privacy, publicity, confidentiality, or other rights.
- Misrepresent AI-generated content as independently verified by Amply or use Amply branding in a misleading manner.
- Resell, sublicense, rent, or provide the Services as a service bureau unless expressly authorized in writing.
12. Intellectual Property
Amply and its licensors retain all right, title, and interest in the Services, software, interfaces, workflows, templates, models, documentation, branding, and related technology, including improvements and derivative works.
Subject to these Terms and payment of applicable fees, Amply grants Subscriber a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use the Services for Subscriber's internal business purposes.
As between the parties, Subscriber retains ownership of Subscriber Data and of Subscriber-created materials that do not incorporate Amply-owned intellectual property. Subscriber grants Amply a limited right to host, copy, transmit, process, transform, and otherwise use Subscriber Data as necessary to provide, secure, support, and improve the Services, subject to the Privacy Policy and any applicable data-processing terms.
13. Third-Party Services and Integrations
The Services may interoperate with third-party email, calendar, communications, hosting, analytics, AI-model, CRM, payment, or other services. Third-party services are governed by their own terms and privacy practices. Amply is not responsible for third-party services outside its control, although Amply remains responsible for its own contractual obligations regarding subprocessors and data handling.
Subscriber authorizes Amply to exchange data with integrations that Subscriber enables or directs Amply to use.
14. Security
Amply will maintain commercially reasonable administrative, technical, and organizational safeguards appropriate to the nature of the Services and information processed.
Subscriber acknowledges that no internet-based service can guarantee absolute security and agrees to use reasonable security practices within its own environment.
15. Confidentiality
Each party may receive non-public information that the disclosing party reasonably considers confidential ("Confidential Information"). The receiving party will use Confidential Information only to perform or exercise rights under the parties' relationship and will protect it using reasonable care. Confidential Information does not include information that is publicly available without breach, independently developed without use of the other party's information, or lawfully received from a third party without confidentiality obligation.
A receiving party may disclose Confidential Information when legally required, provided it gives notice when legally permitted and reasonably cooperates with efforts to seek protective treatment.
16. Availability, Changes, and Beta Features
Amply may maintain, modify, replace, or discontinue features as the platform evolves. Amply will use commercially reasonable efforts to avoid materially reducing the core functionality of a paid subscription during its then-current term, except where changes are required for security, law, third-party dependency changes, or platform integrity.
Preview, beta, experimental, or early-access features may be changed or discontinued at any time and may be subject to additional terms.
17. No Guaranteed Business Results
Any examples, calculators, ROI models, revenue illustrations, time-savings estimates, close-rate scenarios, lead-conversion examples, or similar materials are illustrative only. Actual results depend on factors including lead quality, practice economics, advisor performance, adoption, market conditions, products offered, client circumstances, and other factors outside Amply's control.
Amply does not guarantee leads, appointments, sales, revenue, conversion rates, time savings, investment or tax outcomes, client retention, regulatory results, or any other business or professional outcome.
18. Warranties and Disclaimers
Each party represents that it has authority to enter into these Terms. Except for any express warranty stated in an Order, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. AMPLY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Amply does not warrant that the Services will be uninterrupted or error-free, that all defects will be corrected, or that AI or automated output will be accurate or appropriate for a particular client or transaction.
19. Indemnification
Subscriber will defend, indemnify, and hold harmless Amply, its affiliates, and their officers, directors, employees, and agents from third-party claims, damages, losses, liabilities, costs, and reasonable attorneys' fees arising from or relating to Subscriber's unlawful use of the Services, Subscriber Data provided without required authority or consent, Subscriber's professional recommendations or services, Subscriber's communications with prospects or clients, or Subscriber's breach of these Terms.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING FROM OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMPLY'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY SUBSCRIBER TO AMPLY DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
The exclusions and caps in this Section do not apply to liability that cannot lawfully be excluded or limited.
21. Suspension and Termination
Amply may suspend access when reasonably necessary to address security threats, unlawful activity, material nonpayment, misuse, or material breach. Where practicable, Amply will provide notice and an opportunity to cure.
Either party may terminate as provided in the applicable Order. Amply may terminate for material breach not cured within the period stated in the applicable Order or notice, or immediately for unlawful use or conduct creating material security or legal risk.
Upon termination, Subscriber's access ends and outstanding amounts become due. Data export and deletion procedures will be governed by the Privacy Policy, applicable Order, and any data-processing terms. Subscriber should export records it is legally required to retain before termination.
22. Governing Law and Disputes
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Venue for disputes will lie exclusively in the state or federal courts located in Hall County, Georgia.
23. General Terms
Neither party may assign these Terms without the other party's consent, except that Amply may assign them in connection with a merger, reorganization, financing, sale of substantially all assets, or transfer to an affiliate. Subscriber may not assign or transfer account access except as permitted by an Order.
Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations. These Terms, the applicable Order, the Privacy Policy, and any incorporated addenda constitute the entire agreement concerning the Services and supersede prior discussions concerning the same subject matter.
If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. Notices may be delivered electronically unless law requires otherwise.
